Disclaimer

Last updated: September 2026

Please read this carefully. It applies to every visitor and account holder on Mercare Markets, and forms part of our Terms of Use. Sections 1–12 apply to everyone; the buyer and supplier tabs below add role-specific terms you accept when you create an account.

1. Mercare Markets is a venue, not a counterparty

Mercare Markets operates an online platform on which buyers publish requests for quotation ("RFQs") and suppliers submit quotations. We are not a broker, agent, trader, importer, exporter, freight forwarder, inspector, escrow agent, insurer or financial institution. We are never a party to any contract formed between a buyer and a supplier, and we take no title to, custody of, or responsibility for any goods.

2. Verification and its limits

Mercare Markets operates a verification programme under which our team reviews supplier and buyer accounts — including company research, registry checks and direct email correspondence — before granting a verification tick beside an account's name. A verification tick confirms that we carried out these checks to our own standard at the time of review; it is not a certification of quality, capacity, solvency, licensing or legal compliance, and verification status may lapse or be withdrawn.

Verification does not extend to the documents, certifications, quality reports or contractual terms exchanged between buyers and suppliers. Those documents and terms are agreed solely between the parties on their own terms, and Mercare Markets does not control, review, validate or guarantee them. Ratings, badges, rankings and directory placements are indicators only — never a recommendation, endorsement, guarantee or professional advice — and you remain responsible for your own due diligence on every counterparty and document.

3. Information is provided "as is"

All content on the platform — including material specifications, quantities, prices, lead times, incoterms, indices, market estimates and currency conversions — is supplied by users or by third-party data sources and is indicative only. Currency conversion figures are for comparison purposes and never constitute an agreed contract price. The platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy or uninterrupted availability.

4. Your own due diligence

You are solely responsible for verifying your counterparty and the transaction before you commit funds or goods: company registration, sanctions and export-control screening, licences and permits, product quality and specification, inspection and testing, insurance, shipping, customs, tax and payment security. Nothing on this platform is legal, tax, financial, customs or engineering advice.

5. Prohibited and restricted goods

The platform may only be used for lawful trade in metals, raw materials, stone and related commodities. Trading, listing or quoting weapons, ammunition, explosives, narcotics, counterfeit goods, protected wildlife, hazardous or radioactive materials, sanctioned goods, stolen goods, or anything restricted under applicable law is strictly prohibited. Automated screening is applied to submissions, but screening is imperfect and its operation does not approve, clear or legitimise any listing. Responsibility for compliance rests entirely with the user who posts.

6. Anti-money laundering, sanctions and export control

You represent that you, your company, your beneficial owners and your counterparties are not subject to sanctions administered by the UN, EU, UK, US OFAC or any other competent authority, and that your use of the platform complies with all applicable anti-money-laundering, anti-bribery, export-control and trade-control laws. We may suspend, restrict or terminate accounts and share information with authorities where we consider it necessary.

7. No guarantee of outcome

We do not guarantee that an RFQ will attract quotations, that a quotation will be accepted, that a supplier will be awarded business, that any transaction will complete, or that any particular volume, price or margin will be achieved. Platform availability, notifications and email alerts may be delayed, interrupted or fail.

8. Fees

Subscription and other fees, where applicable, are charged for access to platform features only. They are not a fee for, or a guarantee of, any commercial outcome and are not refundable on the basis that a transaction did not proceed as you expected.

9. Confidentiality and communications

Quotations, pricing and contact details exchanged through the platform are commercially confidential and must not be disclosed to third parties or used to circumvent the platform or another user. We do not monitor private messages for accuracy and are not responsible for statements made by users in them.

10. Limitation of liability

To the maximum extent permitted by law, Mercare Markets, its officers, employees and affiliates are not liable for any loss of profit, revenue, goods, contracts, data, goodwill or business opportunity, nor for any indirect, incidental, special or consequential loss, arising from your use of the platform or from any dealing with another user — including fraud, non-payment, non-delivery, defective goods, misdescription or insolvency of a counterparty. Our aggregate liability to you is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. Nothing excludes liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold Mercare Markets harmless against any claim, loss, fine, penalty or expense (including reasonable legal fees) arising from your content, your transactions, or your breach of these disclaimers, the Terms of Use or applicable law.

12. Changes and governing terms

This disclaimer supplements and forms part of our Terms of Use and Privacy Policy. We may update it at any time; continued use of the platform after an update constitutes acceptance. Questions: info@mercares.com.

B1. Your RFQ is an invitation, not an order

Publishing an RFQ does not create a binding purchase obligation, and Mercare Markets makes no commitment that it will be seen by any particular supplier. A contract arises only when you accept a quotation, and that contract is exclusively between you and the supplier.

B2. Accuracy of your request

You are responsible for the accuracy and legality of every detail you publish — material, grade, composition, quantity, tolerances, packaging, destination, payment and delivery terms. Suppliers price against what you write; errors and omissions are your risk.

B3. Awarding a supplier

The decision to award is yours alone. A verification tick means Mercare Markets reviewed the supplier's company through our verification process at the time of review — it does not cover the documents, certifications or terms exchanged between you and the supplier, which are agreed on your own terms. Rankings, ratings, verification badges and quote comparisons are convenience tools and may be incomplete or out of date. Before awarding you should independently confirm the supplier, inspect samples, review the documents they provide, agree contractual terms in writing and secure payment through an appropriate instrument.

B4. Anonymous posting

Where your plan allows anonymous RFQs, anonymity hides your identity from other users but not from Mercare Markets, and does not alter your legal responsibility for the content of the RFQ or for any resulting contract.

B5. Plan limits and features

RFQ quotas, priority placement, extended material categories and comparison tools depend on your subscription plan and may change. Access to a feature is not a guarantee of commercial benefit.

B6. Ratings you publish

Ratings and reviews you leave must be honest, factual and based on a real awarded transaction. You are legally responsible for what you publish; defamatory, retaliatory or misleading reviews may be removed and your account suspended.

B7. Payment and delivery risk

Mercare Markets does not hold funds, provide escrow, verify shipments or arbitrate disputes. Any prepayment, deposit or open-account exposure to a supplier is entirely at your own risk.
